In the event of any conflict between a specific project agreement and these Terms, the specific project agreement shall take precedence with respect to that engagement only.

6. Service Requests

Clients may request our services through:

  • Respond to requests for feedback, approvals, or clarifications within a reasonable timeframe;

  • Make payments in accordance with the agreed pricing and payment terms.

Failure to fulfill these responsibilities may result in delays, suspension of services, or additional charges, as reasonably determined by CRO Analyst.

8. Project Requirements

Certain services may require specific technical access, credentials, or materials before work can begin or continue, including but not limited to website login credentials, hosting or domain access, advertising account access, brand guidelines, or content assets. Clients are responsible for providing such requirements in a timely manner. Delays in providing necessary access or materials may impact project timelines and deliverables, and CRO Analyst shall not be held responsible for delays caused by incomplete or late provision of such requirements.

9. Communication Policy

CRO Analyst communicates with clients through email, WhatsApp, phone calls, and other mutually agreed channels. We aim to respond to client inquiries within a reasonable business timeframe; however, response times may vary based on the nature of the request, time zone differences, and current workload.

Clients are encouraged to maintain clear, professional, and timely communication to ensure the smooth progress of their projects. CRO Analyst reserves the right to determine reasonable communication frequency and channels for each project.

10. Pricing & Quotations

Pricing for our services is generally provided through a custom quotation based on the scope, complexity, and requirements of each project. Quotations are valid for a limited period, as specified at the time of issuance, and are subject to change without prior notice if not accepted within that period.

All prices are quoted in the currency specified in the relevant proposal or invoice, unless otherwise agreed. CRO Analyst is not responsible for any transaction fees, currency conversion charges, or bank charges incurred by the Client in the course of making payments.

12. Late Payments

In the event of late or overdue payments, CRO Analyst reserves the right to:

  • Suspend ongoing services until outstanding payments are settled;
  • Charge reasonable late fees or interest on overdue amounts, where permitted by applicable law;
  • Withhold deliverables, reports, or access credentials until payment is received;
  • Terminate the engagement in cases of prolonged non-payment.

Continued non-payment may result in referral to a collections process or other lawful remedies available to CRO Analyst.

13. Taxes

All fees quoted by CRO Analyst are exclusive of any applicable taxes, duties, levies, or governmental charges unless explicitly stated otherwise. Clients are responsible for determining and paying any taxes applicable to their jurisdiction in connection with the services provided, except for taxes based on CRO Analyst’s own net income.

14. Refund Policy

16. Delays Caused by Clients

Where project delays result from a Client’s failure to provide timely feedback, approvals, content, access credentials, or payments, CRO Analyst shall not be held liable for any resulting delay in deliverables. CRO Analyst reserves the right to adjust project timelines, and may apply additional charges where significant delays require rescheduling of resources.

17. Revisions

Where applicable, a reasonable number of revisions may be included as part of a specific project scope, as outlined in the relevant proposal or agreement. Revisions beyond the agreed scope may be subject to additional charges, as determined by CRO Analyst on a case-by-case basis.

18. Approval Process

Certain deliverables, such as website designs, content, or advertising creatives, may require Client approval before implementation or publication. Clients are responsible for reviewing such deliverables within a reasonable timeframe. Failure to respond within the requested timeframe may be treated as implied approval, allowing CRO Analyst to proceed with the next project phase.

19. Service Changes

CRO Analyst reserves the right to modify, upgrade, expand, or discontinue any aspect of its service offerings at any time, in order to reflect evolving industry standards, technology changes, or business needs. Where such changes materially affect an ongoing project, CRO Analyst will make reasonable efforts to notify the affected Client.

20. Suspension of Services

CRO Analyst reserves the right to suspend services, in whole or in part, under circumstances including but not limited to:

  • Non-payment or late payment of invoices;
  • Client’s failure to provide necessary access, materials, or approvals;
  • Suspected fraudulent, abusive, or unlawful use of our services;
  • Violation of these Terms by the Client;
  • Circumstances beyond our reasonable control, as described in the Force Majeure section.

Suspension of services does not relieve the Client of any outstanding payment obligations.

21. Termination of Services

Either party may terminate an ongoing service engagement by providing written notice, in accordance with the notice period specified in the relevant proposal or agreement, or as otherwise mutually agreed. CRO Analyst reserves the right to terminate services immediately in cases involving non-payment, breach of these Terms, unlawful conduct, or abusive behavior toward our team.

Upon termination, the Client remains responsible for payment of all fees accrued up to the date of termination, and CRO Analyst shall have no further obligation to provide deliverables beyond that point, except as otherwise agreed.

22. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in the strategies, methodologies, tools, templates, reports, and proprietary processes developed or used by CRO Analyst in the course of delivering services remain the exclusive property of CRO Analyst.

Upon full payment for a specific project, ownership of the final agreed-upon deliverables (such as website files, ad creatives, or content specifically created for the Client) may transfer to the Client, unless otherwise specified in the relevant agreement. CRO Analyst retains the right to use general concepts, know-how, and non-confidential techniques developed during the engagement for other clients or purposes.

The CRO Analyst name, logo, branding, and Website content are the exclusive property of CRO Analyst and may not be copied, reproduced, or used without prior written permission.

23. Client Content

Clients retain ownership of any content, materials, trademarks, logos, or data they provide to CRO Analyst (“Client Content”). By submitting Client Content, the Client grants CRO Analyst a limited, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of delivering the agreed-upon services.

Clients represent and warrant that they have the necessary rights, licenses, and permissions to provide such Client Content, and that its use by CRO Analyst will not infringe upon any third-party rights.

24. Website Access

CRO Analyst grants Clients and visitors a limited, non-exclusive, non-transferable right to access and use the Website for its intended informational and business purposes. This access does not grant any ownership rights in the Website or its content. CRO Analyst reserves the right to restrict, suspend, or terminate access to the Website for any user at its sole discretion, particularly in cases of misuse or violation of these Terms.

  • CRO Analyst does not control search engine algorithms, ranking factors, or indexing decisions;
  • No specific search engine ranking, position, traffic volume, or timeline can be guaranteed;
  • SEO is a long-term, ongoing process, and results may vary based on competition, industry, website history, and numerous factors outside our control.

Any ranking positions, traffic estimates, or projections shared by CRO Analyst are provided as general estimates based on experience and available data, and should not be interpreted as guarantees.

28. Advertising Disclaimer

CRO Analyst manages advertising campaigns across platforms such as Google Ads, Facebook Ads, and other advertising networks. Clients acknowledge that advertising performance depends on numerous factors beyond CRO Analyst’s control, including but not limited to market competition, ad platform policies, audience behavior, budget constraints, seasonality, and platform algorithm changes.

Accordingly, CRO Analyst does not guarantee any specific return on investment (ROI), click-through rate, conversion rate, cost-per-click, or overall advertising performance. Any performance projections provided are estimates based on available data and industry experience, not guarantees of future results.

29. Third-Party Platforms

Our services may involve the use of, or integration with, various third-party platforms, including but not limited to Google, Meta (Facebook/Instagram), Bing, WordPress, Shopify, hosting companies, domain registrars, and other similar services, whether currently in use or introduced in the future. CRO Analyst does not own, operate, or control these third-party platforms and is not responsible for their policies, downtime, algorithm changes, account suspensions, or any other actions taken by such platforms that may affect a Client’s project or business.

Clients are responsible for complying with the terms of service of any third-party platform used in connection with our services.

30. Third-Party Tools

In delivering our services, CRO Analyst may utilize various third-party software, plugins, analytics tools, automation platforms, and other business tools. These tools are selected based on their relevance and effectiveness at the time of use and may be changed, replaced, or discontinued at CRO Analyst’s discretion as the digital marketing landscape evolves. CRO Analyst is not liable for any limitations, errors, or discontinuation of service caused by such third-party tools.

31. Confidentiality

Both CRO Analyst and the Client agree to maintain the confidentiality of any proprietary, sensitive, or non-public information disclosed during the course of their business relationship, including business strategies, financial information, login credentials, and internal communications.

This obligation of confidentiality shall survive the termination of services and shall not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or governmental authority.

35. Force Majeure

CRO Analyst shall not be held responsible or liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, pandemics, internet or infrastructure outages, third-party platform failures, or other similar events (“Force Majeure Events”). In such cases, the affected obligations shall be suspended for the duration of the Force Majeure Event.

36. Indemnification

Clients agree to indemnify, defend, and hold harmless CRO Analyst, its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) the Client’s breach of these Terms; (b) the Client’s use of our services in violation of applicable law; (c) any Client Content provided to CRO Analyst that infringes upon third-party rights; or (d) the Client’s misuse of the Website or services.

37. Warranties Disclaimer
